Terms of Service
These are the terms for working with UDUE. We wrote them in plain words. In short: you pay once to build your site, then month to month to keep it hosted, secure, and current. You can cancel any time. Your church owns its website and its domain name.
1. Who We Are
UDUE is a business of UDUE LLC ("UDUE," "we," "us," or "the UDUE Team"). Our address is 1309 Coffeen Avenue STE 1200, Sheridan, WY 82801. Email: admin@udue.com.
"You" and "your church" mean the church or ministry named on your order. The person who accepts these terms says they have the authority to do so for your church. Please tell us in writing who your authorized contacts are. These are the people who may approve work, approve the launch, change plans, or cancel. We may rely on a request from an authorized contact.
We serve churches and ministries in the United States.
2. What This Agreement Includes
This agreement is made of:
- these Terms of Service;
- your order and the written scope we agree before you pay (the "Scope");
- the Refund and Cancellation page;
- the Privacy Policy; and
- the Client Portal Terms of Use, if you use the portal.
If the Scope and these Terms disagree about what we build or what you pay, the Scope controls. For everything else, these Terms control.
3. The Website Build
What we build. We design and build a custom website for your church. It has up to 8 pages. It works well on phones. It includes a contact form and pages for service times, sermons, and events, as described in your Scope. It also includes basic search engine setup, help with your Google Business profile, and a training session for your team, as described in your Scope.
Agreed in writing first. We agree with you in writing what your site will include before you pay anything.
Timing. Most sites are delivered about a week after your consultation and after we have all of your content. That is an estimate, not a promise. We confirm your expected date when you sign up. Late content, photos, feedback, or approvals move the date.
Review. We share a private preview. You tell us what to change, and we revise. Your build includes two rounds of changes before launch. More rounds are quoted first. If we do not hear from you for 10 business days after sharing a preview, we may pause the project until you reply.
Not included unless quoted. More than 8 pages, new features, online giving, streaming, email accounts at your domain, copywriting beyond what you give us, photography, translation, and ongoing marketing are not included. We quote these first and begin only after you say yes in writing. Email is fine.
No promises about results. We make no promises about attendance, giving, search rankings, or website traffic. We offer a clear, current, well-kept website.
4. Prices and Payment
Site build. The build price is $999, paid in two parts:
- $499.50 to start, due when you accept the Scope.
- $499.50 when you approve the launch, due before your site goes live.
Monthly plans. Plans are month to month.
- Care: $50 a month. Up to 15 changes each month.
- Care Plus: $99 a month. Up to 30 changes each month, one scheduled events and sermon update each month, and a short monthly summary of your site's activity where analytics is set up for your church.
- Full Service: $199 a month. Unlimited reasonable changes, giving and forms setup, a quarterly design refresh, and a 48-hour response target.
Annual billing. You may pay for a year in advance and receive two months free: $500 for Care, $990 for Care Plus, or $1,990 for Full Service.
When monthly billing starts. Your plan begins when you approve the launch. Your first month is included at no charge. Monthly billing starts one month after launch.
How you pay. We use PayPal checkout. The two build payments are one-time PayPal payments. Each monthly plan is a PayPal subscription that renews automatically each month until you cancel, and we bill in advance. You can manage or cancel your subscription in PayPal or from the client portal. To pay for a year in advance, email us and we will send you a PayPal payment for that amount. A year paid in advance does not renew on its own. We email you a receipt for each payment.
Failed or late payments. If a payment fails, we will email you. If it is not fixed within 15 days, we may pause updates to your site. After that, and after another written notice from us, we may suspend the site. We do not charge late fees. We never hold back your domain or your files because of a late payment (see sections 9 and 10).
Price changes. We will give you at least 30 days' notice by email before a monthly plan price changes. You may cancel before the new price starts.
Taxes. Prices do not include sales or use tax. If tax applies to your purchase, we add it and show it on your receipt. If your church is tax exempt, send us your exemption certificate.
Fees paid to others. Domain registration and renewal fees, optional email accounts at your domain, giving or payment provider fees, and paid images or fonts are paid by your church at the provider's price. We add no markup. We tell you the price before we buy anything.
5. Changes and Extra Changes
What counts as a change. A change is one small update that takes about 30 minutes or less, such as a service time, a sermon, an event, a photo, or a staff entry. Larger requests, such as a new page or a new feature, are quoted first.
Your monthly allowance. Your plan includes the number of changes shown above. On Care, unused changes do not carry over. On Care Plus, unused changes carry into the next month, for one month only. Full Service has unlimited reasonable changes, so there is no monthly limit to carry over.
Extra changes. Changes beyond your plan are $5 each. We bill them together in one PayPal invoice at the end of the month. We will tell you when you are close to your limit.
Full Service. "Reasonable" means the updates a church normally needs. If requests go far beyond that, we will talk with you first about a quote or a different plan.
We confirm each request. Before we change anything, we confirm the request with an authorized contact, whether it comes through the client portal, by phone, or by email. This protects you if someone else asks for a change in your name.
6. Response Times
We aim to finish each change within 72 hours. On Full Service, we aim for 48 hours. We count these as calendar hours, from the moment we receive your request. Weekends and holidays are counted, and the client portal shows the clock for each request.
Response times describe how quickly we normally respond. They are not guarantees or service levels.

7. Content and Photos From Your Church
Your content stays yours. You supply your own text, photos, logos, video, audio, names, and other materials ("Church Content"). Your church keeps every right it has in Church Content.
Our permission to use it. You give UDUE permission to copy, edit, format, host, display, and publish Church Content only as needed to build, host, secure, and care for your site and to do the work you ask for.
What your church confirms. Your church confirms that:
- it owns Church Content or has permission to use it on a website;
- it has a signed release for each identifiable person shown in a photo or video, and a signed release from a parent or guardian for anyone under 18;
- it holds the licenses needed for any music, song lyrics, video, Bible translations (including required copyright notices), fonts, and images it asks us to use, including any livestream or song licensing that applies;
- Church Content does not break anyone's rights, is not unlawful or misleading, and does not share private information that people have not agreed to share; and
- it will not ask us to copy another website's text, images, or code, or to copy another business's name or logo.
We are glad to design something original that is inspired by sites you admire.
Children and private information. Please do not publish children's full names, home addresses, or schedules next to their photos. Please tell us before you add any form or page that collects private information, such as a member directory, prayer requests with names, or a members-only area. We will talk through the right setup with you.
Removing content. We may decline or remove Church Content that we reasonably believe breaks the law or someone else's rights. We will tell you when we do. If you believe content on a site we host infringes your copyright, email admin@udue.com with the page address, a description of the work, and your contact details.
Images and fonts we supply. If we include stock images, icons, fonts, or code libraries, they come with their own licenses. Your church may keep using them on its site. They may not be resold or shared on their own.
Your responsibility. Your church will cover UDUE for claims and reasonable costs that come from Church Content or from your church's use of the site in breach of this agreement.
8. Who Owns What
Your finished website. When you have paid the full build price, UDUE assigns to your church the ownership of the custom design and custom code made for your site (the "Church Site"). This does not include the items below.
UDUE materials. UDUE keeps ownership of its own pre-existing templates, code libraries, methods, and know-how, including anything we reuse for other clients. If any of these are part of your site, UDUE gives your church a permanent, non-exclusive license to use them as part of that site.
Other people's materials. Software, plugins, fonts, and images made by others stay under their own licenses. We tell you about any that need a paid license.
Before final payment. Until the full build price is paid, UDUE keeps ownership of the work in progress. You may view and review it, but you may not publish it or use it elsewhere.
Your domain and content are never held back. Your church's domain and Church Content are yours at all times, whether or not payment is up to date.
Our name and logo. The UDUE name and logo belong to UDUE. We will not use your church's name or site in our marketing without your permission. If you say yes, you may take it back at any time.
9. Domain Names
Your church is the registrant. Your church owns its domain name. When we register a domain for you, we list your church's legal name as the registrant of record. We register and renew it on your church's behalf, as your agent.
If you already have a domain, you keep it. We may ask for access so we can connect it to your new site. We leave your existing email alone.
Fees and renewals. We show you the registration fee before we buy a domain. We renew your domain before it expires as long as your plan is active. We email you at least 30 days before a renewal fee is due. Renewal is yearly, unless the registrar offers another term.
Accurate details. Please give us accurate contact details for your church and tell us when they change. A registrar can suspend a domain if its details are false.
Moving your domain. You may ask us at any time to move your domain to your own account with a registrar of your choice. Email us. We work to unlock the domain and send you the transfer authorization code within 5 business days, and we help with the move. Some registrars lock a new domain, or a domain with a changed registrant, for a period such as 60 days. If that applies, we will tell you and move it as soon as it is allowed.
No holding back. We never hold your domain back, including during a billing question.
What we cannot control. Registrars and registries set their own rules, prices, and schedules. We are not responsible for a registrar outage or for a dispute with someone who claims rights to a name. If we learn of one, we will tell you promptly.
10. Hosting, Security, and Backups
Hosting. We host your site on a managed hosting service that we choose. The hosting account belongs to UDUE. Your church owns the site, as described in section 8.
What your plan includes. Your plan includes hosting of your site on a secure (HTTPS) connection, keeping your site's software up to date, and the changes in your plan.
Backups. We work to keep copies of your site's files and content so that we can restore it if something goes wrong. We do not promise a backup schedule or a recovery time.
No promise of uninterrupted service. Websites can go down, and they can be attacked. Hosting and other providers can have outages that we do not control. We work to fix problems quickly and keep you informed. We do not guarantee that your site will always be available, error-free, or free of security incidents.
Your part. Please keep your passwords and portal sign-in links private. Please do not email passwords to us. Tell us right away if you think someone has gained access.
If you cancel. Your site stays live through the end of the month you have paid for. Before it ends, we give you your site files and help move your domain (see section 13). We aim to keep a copy of your site for 30 days after your end date so you can ask for it. After that, we may delete it.
11. Other Companies' Services
We rely on other companies, such as our hosting provider, a domain registrar, Zoho for email, a website performance service, PayPal for payments, Neon for the database behind our client portal, and the giving or streaming provider your church chooses. Their terms and privacy policies apply to their services. We are not responsible for their outages, price changes, or how they handle information.
Giving. If we set up online giving, your church signs up with the giving provider and holds the account. Donations go to your church through that provider. UDUE does not receive, hold, or move donations. Your church is responsible for donor receipts and for any rules that apply to collecting gifts.
12. The Free Site Check
The Site Check is free and has no obligation. We prepare a report on the website address you give us, normally your home page, covering things like its first impression, whether it is secure, whether it works on a phone, how fast it opens, and whether service times and contact details are easy to find. We email your Site Check report to the address you provide, usually within about an hour.
By sending a request, you confirm that the address you give is your church's website, or that you have permission to ask for a check of it.
The report is our view of what we saw at one point in time. It is not a guarantee, an audit, or legal advice. You may use what we send in any way you like.
We use the details you send as described in our Privacy Policy.
13. Cancelling and Ending the Agreement
You may cancel any time. Email admin@udue.com. We confirm your end date in writing. Your plan ends at the end of the month you have already paid for. There is no cancellation fee. See the Refund and Cancellation page for how refunds work.
We may end it too. We may end this agreement with 30 days' written notice. We may suspend or end it sooner if your church seriously breaks it, for example by not paying after notice, by publishing unlawful content, or by misusing our systems.
What you receive when it ends. We aim to give you the following within 5 business days of your end date:
- your site's files and content, and any exported data;
- the transfer authorization code for your domain, or help moving it to your own account; and
- a list of any other accounts connected to your site.
Ownership of the Church Site passes as described in section 8. You always get back your domain and your Church Content.
After the end date. We have no duty to keep hosting your site or to redirect visitors. If we ever stop offering our services to all clients, we will give at least 60 days' written notice and hand over your files and domain.
What continues. Sections that by their nature continue after the end, such as ownership, amounts owed, limits on liability, and how we resolve disagreements, continue.
14. Privacy
Our Privacy Policy explains what we collect and who handles it. Your church is responsible for the privacy notice on its own site, its own forms, and any member or children's information it collects. We are glad to provide a short privacy page for your site if you ask.
We keep non-public information that your church shares with us confidential and use it only to do our work. We ask your church to do the same for our non-public business information.
15. Our Care and Disclaimers
We will do our work with reasonable care and skill.
Except for that promise, our services and your site are provided "as is" and "as available." We make no other promises or warranties, written or unwritten, including about uninterrupted or error-free operation, search rankings, traffic, attendance, giving, or fit for a particular purpose. We do not promise that a website meets every law for every visitor, including accessibility or privacy laws, unless your Scope says so in writing. Some states do not allow certain limits, so some of this may not apply to you.
Our dates and response times are goals, not guarantees.
We do not give legal, tax, or financial advice. Please ask your own advisor.
16. Limit of Liability
To the fullest extent the law allows, UDUE is not liable for lost donations, lost attendance, lost revenue or profits, lost data, or any indirect, special, incidental, consequential, or punitive damages, even if we were told they might happen.
To the fullest extent the law allows, UDUE's total liability under this agreement is limited to the amount your church paid UDUE in the 12 months before the event that led to the claim.
These limits do not apply to anything the law does not allow us to limit, such as fraud or willful wrongdoing.
Your price reflects these limits.
17. Governing Law and How to Raise a Concern
Wyoming law. The laws of the State of Wyoming govern this agreement, without regard to its conflict-of-law rules.
Tell us first. If something is wrong, please email admin@udue.com with a short description. We aim to reply within 5 business days, and we will both work in good faith to resolve it within 30 days.
Mediation. If we cannot resolve it, we will both try mediation with a neutral mediator before either side goes to court. We may use a Christian mediation service if we both agree. Mediation may be held by video or in Sheridan County, Wyoming. We split the mediator's fee equally. Each side pays its own costs.
Courts. If mediation does not resolve it, the state and federal courts located in or serving Sheridan County, Wyoming are the place for any lawsuit. Either side may use small claims court at any time. Either side may go to court at any time to stop misuse of its intellectual property or confidential information. Each side pays its own legal fees.
18. General Terms
- Whole agreement. This agreement is the whole agreement between us about its subject.
- Changes to these terms. When we change these terms, we change the date at the top and email current clients at least 30 days before the change affects them. If you do not agree, you may cancel before it starts. A change will not alter the price or Scope you already agreed without your written agreement.
- Notices. We send notices to the email address you gave us. You send notices to admin@udue.com or to our address above.
- Transfers. Your church may not transfer this agreement without our written consent, which we will not unreasonably withhold. We may transfer it if we sell or merge our business, and we will tell you.
- Events outside our control. Neither of us is responsible for delay caused by events outside our reasonable control, such as an internet or provider outage or a natural disaster. This does not excuse payment.
- Independent parties. UDUE is an independent contractor. We act as your agent only for registering and renewing your domain, as described in section 9.
- If part is unenforceable, the rest still applies. If we do not enforce a right, we have not given it up.
- Electronic acceptance. Accepting this agreement online, by checking the box and clicking accept in the client portal, is a legal signature. We keep a record of who accepted, when, which version, and the internet address and browser used.
